POSITION SUMMARY

The Senior Legal Counsel will have responsibility for directly and independently providing legal support to Hess’s commercial and upstream business units, subject to minimal supervision.  The Senior Legal Counsel will also partner with other attorneys across the legal department on various transactional and asset related matters, and will manage projects within the legal department.  The Senior Legal Counsel must be self-directed and accountable, and comfortable with working on a team, as well as, independently with minimal supervision.  The Senior Legal Counsel must be able to think critically, identify issues that need to be elevated for input and propose recommendations based on sound legal judgment. The volume and depth of the particular assignments will vary according to legal department needs and Counsel’s abilities and experience. 

 

ROLES & RESPONSIBILITIES

Provide legal support to business units:

  • Independently negotiate and draft various commercial, midstream and marketing contracts.  For example: Gas Gathering and Process Contracts; Crude Oil Transportation and Sales Contracts; Pipeline Transportation Contracts, NAESB forms; etc. 
  • Independently negotiate and draft credit support documents related to commercial and marketing operations.  For example: Guarantees, Letters of Credit, Netting Agreements; etc.

 

Understand Hess Upstream, Midstream and Commercial businesses and structure to identify cross-business issues, and work collaboratively in a team to develop solutions/recommendations

 

Support regulatory review and compliance practices within risk controls function related to the Dodd Frank regulation and the Regulation on Wholesale Energy Market Integrity and Transparency, among others.

 

Partner with other attorneys in the legal department regarding transactional matters, leasing and land issues, regulatory compliance and business governance matters;

 

Manage and support legal department projects related to business realignment and risk controls;

 

In conjunction with the business unit, gather and analyze relevant information to develop action plans;

 

Apply knowledge, past practices and experiences to complex problems that impact the business unit;

 

Develop recommendations for more difficult and complex issues;

 

and other duties as assigned.

 

QUALIFICATIONS

Experience

  • Excellent organizational skills with superior attention to detail;
  • Ability to maintain accountability while managing simultaneous tasks and deadlines;
  • Desire to work in a team setting
  • At least two of the following are required -
    • Experience negotiating and drafting oil and gas commercial, midstream and/or marketing contracts;
    • Experience negotiating and drafting credit support agreements;
    • Academic understanding of upstream oil and gas business and related contracts (JOAs, Unit Agreements, Leases, etc.) and/or M&A due diligence and transactions.

 

Education, Training & Certifications

  • J.D. Degree or equivalent and active license to practice law in a U.S. jurisdiction
  • 7+ years of professional level work experience in a Corporate Law Department and/or Law Firm.
